Executive Summary

Die Gründung einer Firma in Europa : Das englische Gesellschaftsrecht ist das Älteste der Welt und ist auch die Basis vom amerikanischen und vom chinesischem Recht. Das Heimatland der Limited besticht dabei durch den Wunsch nach Entbürokratisierung, was in modernen Zeiten mehr denn je spürbar wird. So können Limited-Gründer heute zahlreiche Angelegenheiten ohne Behördenbesuch und lange Wartezeit online erledigen - dank eines Gesellschaftsrechts, das dieses moderne Vorgehen zulässt. Bis 1999 war es innerhalb der EU praktisch nicht möglich, zum Beispiel eine Limited ausschließlich in Deutschland zu nutzen. Ein Zuzug einer Limited nach Deutschland und eine damit einhergehende Eintragung dieser Limited ins deutsche Handelsregister wurde strickt verweigert und die Limited nicht als juristische Person anerkannt. Viel mehr wurden die rein in Deutschland tätigen ausländischen Gesellschaften fast immer wie Personengesellschaften behandelt und eine beschränkte Haftung war somit gänzlich ausgeschlossen. Die Gesellschafter hafteten somit privat und voll.
